Distance services agreement.

The terms of the agreement formed between the Seller and the Buyer when you buy a Vekilaw subscription online. Please also read the Pre-Contract Information Form before ordering.

The Turkish version of this text is the binding one. This English version is provided for information only; in case of any discrepancy the Turkish version prevails.

Five points in brief

  1. 01The Seller provides electronic access to the cloud-based Vekilaw service for a period (monthly or annual).
  2. 02The fee is shown per plan in Turkish lira, VAT included; payment is made on the iyzico page at the start of the period, card details are not stored by the Seller and nothing is charged automatically.
  3. 03A Buyer acting as a consumer has a 14-day right of withdrawal, but if the Service is started immediately on the express consent given at payment, that right ends under the Regulation.
  4. 04The consumer right of withdrawal does not apply to lawyers, firms and companies buying for commercial or professional purposes; cancellation and refund rules are in the Cancellation and Refund Policy.
  5. 05Consumer arbitration committees, consumer courts and mandatory provisions are reserved in disputes.

This summary is for information only; the articles below are the binding text.

  1. 01/14

    Seller

This agreement is formed electronically between the seller identified below (the “Seller”) and the natural or legal person who buys a subscription through the website or the application (the “Buyer”) when the Buyer confirms the order. The Seller’s identity and contact details:

    Company name
    Vekilaw
  2. 02/14

    Buyer

The Buyer’s name or company name, email, phone and invoicing details are those the Buyer enters during registration and ordering. The Buyer is responsible for keeping them accurate and current; consequences of incorrect details rest with the Buyer.

  3. 03/14

    Subject of the agreement

The subject of this agreement is electronic access, for the chosen period and according to the plan selected by the Buyer, to the cloud-based Vekilaw law office management service (the “Service”) provided by Vekilaw, and payment of the corresponding fee. The Service has no physical delivery.

Validate the plan name, scope and user, case, storage and AI limits against the current platform catalogue and order summary. AI access/quota depends on the active plan or add-on scope and company consent, permission and provider configuration prerequisites. Confirm any separate quotation or additional service scope before ordering; fixed plan values are not assumed.

  4. 04/14

    Consumers and business buyers

Consumer Protection Law No. 6502 and the Distance Contracts Regulation apply only to natural persons acting for purposes outside their trade or profession (consumers).

The Service is offered mainly to lawyers, law firms and corporate legal departments for commercial or professional purposes. If the Buyer acts for such a purpose, the consumer right of withdrawal and the other rights the Regulation grants to consumers do not apply, and the order is governed by the Terms of Service and the Cancellation and Refund Policy. If the Buyer acts as a consumer, the mandatory provisions of consumer law prevail over any contrary provision of this agreement.

  5. 05/14

    Fee and payment

The price is shown in the order summary as the total amount in Turkish lira, including VAT, for the selected plan and period (monthly or annual). Validate the applicable monthly/annual prices separately against the current catalogue; an annual discount is not assumed.

Payment is made by bank or credit card on the iyzico payment page. Card details are processed by iyzico and are not stored by the Seller. The subscription is prepaid per period; the Seller does not charge a saved card automatically. Payment for a new period is made separately, with the Buyer’s approval.

If payment is not completed, the order is not placed and no paid period starts. If an amount was charged because of a payment error but the order was not completed, it is refunded under the Cancellation and Refund Policy. The invoice is issued with the company name and tax details saved in the account. Fee changes are notified at least 30 days in advance and do not affect the fee of the current period.

  6. 06/14

    Performance of the Service

The Service is provided electronically. The purchased period starts when the Buyer’s running trial or paid period ends; if no period is running, it starts when payment is confirmed. No time the Buyer has paid for or has been granted is shortened.

A change of plan or period (for example from monthly to annual) takes effect when the current period ends. Service levels, planned maintenance and support are subject to the Terms of Service.

  7. 07/14

    Free trial

No credit card is asked at sign-up and nothing is charged during the trial. The trial length depends on the plan and is stated on the pricing page. If no paid plan is purchased at the end of the trial, no subscription starts by itself and access to the account may be restricted; no cancellation is needed to end the trial.

  8. 08/14

    Right of withdrawal

A Buyer acting as a consumer may withdraw from a service contract within fourteen days of the date the contract is formed, without giving any reason and without a penalty (Law No. 6502, Art. 48, and the Distance Contracts Regulation). The notice of withdrawal is sent in writing, email included, or on a durable medium to the contact details in this agreement; sending it within the period is enough.

The Service is a digital service that can be performed immediately. Under the Regulation there is no right of withdrawal for services whose performance begins, with the consumer’s consent, before the withdrawal period ends, or for services performed immediately by electronic means (Regulation Art. 15). For this reason, the payment screen asks separately for your express consent to start the Service immediately and to the loss of the right of withdrawal that follows. If you do not give that consent, performance begins when the withdrawal period ends.

Where the right of withdrawal can be exercised and performance has begun, the consumer owes the part of the fee that corresponds to the Service provided until the notice of withdrawal; the remaining amount is refunded by the payment method used, within fourteen days of the notice reaching the Seller at the latest.

The right of withdrawal belongs only to a Buyer acting as a consumer and does not apply to a Buyer acting for commercial or professional purposes.

  9. 09/14

    Cancellation and refunds

Cancelling a subscription, changing plans, refunds of erroneous payments and the refund process after withdrawal are set out in the Cancellation and Refund Policy, which forms an integral part of this agreement.

  10. 10/14

    Personal data

Personal data is processed in line with the Privacy Policy and the KVKK Privacy Notice. For client and case data that firms enter into the Service, the data processor provisions of the Terms of Service apply.

  11. 11/14

Force majeure and impossibility of performance

During force majeure events beyond the parties’ control, obligations are suspended and neither party is liable for the resulting delay. If it becomes clear that the Seller cannot perform the Service at all, the Buyer is informed and, for a consumer, the fee for the period that cannot be provided is refunded within fourteen days.

  12. 12/14

    Dispute resolution

A Buyer acting as a consumer may apply to the Consumer Arbitration Committee at their place of residence or where the Service was bought, within the monetary limits announced each year by the Ministry of Trade, and to the Consumer Court for disputes above those limits.

For a Buyer acting for commercial or professional purposes, the governing law and competent court provisions of the Terms of Service apply.

  13. 13/14

    Entry into force and language

By confirming the order, the Buyer declares having read, understood and accepted this agreement and the Pre-Contract Information Form electronically. The current text is published on the website; the text in force at the time of the order binds the Buyer. The Turkish text of the agreement is the binding one.

  14. 14/14

The Seller’s contact details for the agreement, withdrawal and refund requests and any notice are in the Seller article above.
